Welcome to Gaiavation Inc. ("Gaiavation", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use our services.

1. Use of Our Services

2.2 Content Responsibility

You are solely responsible for your User Content and any consequences of submitting, posting, or displaying it on our services. Gaiavation does not endorse any User Content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with User Content.

3. Intellectual Property

3.1 Gaiavation's Intellectual Property

All content, trademarks, service marks, trade names, logos, and intellectual property related to our services are the property of Gaiavation or its licensors. Except as expressly provided in these Terms, you are not granted any rights or licenses to use any Gaiavation intellectual property.

3.2 Feedback

You may choose to, or Gaiavation may invite you to, submit comments, suggestions, or ideas about our services ("Feedback"). By submitting Feedback, you agree that Gaiavation is free to use such Feedback without any restriction or compensation to you.

4. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our services, you agree to the terms of our Privacy Policy.

5. Termination

Gaiavation may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease, and Gaiavation reserves the right to remove or delete your information that is on file with Gaiavation, including any account or login information.

6. Disclaimers and Limitation of Liability

6.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Gaiavation does not warrant that the services will be uninterrupted, error-free, or completely secure.

6.2 Limitation of Liability

To the fullest extent permitted by applicable law, Gaiavation and its affiliates, officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our services; (b) any unauthorized access to or use of our services and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through our services; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

You agree to defend, indemnify, and hold harmless Gaiavation and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our services, your User Content, or your violation of these Terms.

8. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or our services will be resolved exclusively in the state or federal courts located in Sacramento, California, and you and Gaiavation consent to the jurisdiction of such courts.

9. Changes to These Terms

We may revise these Terms from time to time in our sole discretion. When we make changes, we will post the revised Terms on our website and update the "Effective" date at the top of these Terms. Your continued use of our services following the posting of any changes signifies your acceptance of such changes.

10. Miscellaneous

10.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Gaiavation regarding your use of our services and supersede any prior agreements between you and Gaiavation relating to such use.

10.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

10.3 Waiver

No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term, and Gaiavation's failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.
